I hereby submit my written, audio, or video presentation of my story (the “Story”) to How Men Cry LLC’s (“HMC”) for consideration for inclusion in HMC’s podcast, social media, and website (the “Programming”), and grant HMC the licenses described herein for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged.

I hereby grant HMC a license to use, adapt, modify, reproduce, distribute, publicly perform and display the Story for use in and in connection with the Programming and in promotion of the Programming. If I have not indicated on the submission form submitted with the Story that I wish to remain anonymous, I further grant HMC the same rights with respect to my likeness, photograph, image, story, voice, and name.

This grant of a license is throughout the world for all time and for all media, whether now known or hereafter invented, for the benefit of HMC and the HMC’s successors and assigns and to any person or entity that through the HMC shall have the right to reproduce, distribute, or publicly perform the Story in the Programming and through any channels by which HMC distributes the Programming. The licenses granted herein shall be exclusive for one year from the date of my submission, and non-exclusive thereafter.

I understand that I have no right or interest in the Programming or its copyright (or in any part of the Programming or its copyright), or any benefits derived from the Programming and to the extent that I could be deemed to have any, I hereby irrevocably assign all such rights and interests to HMC. The foregoing notwithstanding, I reserve copyright in the Story.

I represent and warrant that I am at least 18 years old, and that I have the right, capacity and authority to enter into this agreement and that the rights I have granted do not conflict with or violate any commitment or understanding I have with any other person or entity.

I will indemnify and hold HMC harmless from and against all claims, losses, expenses and liabilities of every kind, including reasonable attorney’s fees, arising out of any inaccuracy in my representations or warranties above, or my breach of any provision of this agreement.  I expressly release HMC from any and all claims arising out of use of the rights I have granted.

This agreement shall be governed by and interpreted and enforced in accordance with the laws of the state of Illinois and may only be amended as mutually agreed to by both parties in writing.

I understand that HMC is not obligated to use any of the rights I have granted.
